Our Site is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell some or all of our Services to you.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

A breach or violation of any of the Terms will result in an immediate termination of your Service.

We reserve the right to refuse Service to anyone for any reason at any time.

Certain Services may be available exclusively online for purchase through our Site. These Services that are made available exclusively online may be offered in limited quantities and are subject to return or exchange according to our Online Returns & Exchange Policy. 

We have made every effort to display as accurately as possible the colors and images of our products that appear on the Site. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any Services that we offer. All descriptions of Services and pricing of those Services are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any Service at any time. We do not warrant that the quality of any information, or other material obtained by you from our Site will meet your expectations, or that any errors on our Site will be corrected. 

Not all Services are available for immediate purchase through our Site. Some Services may be available at minimum quantity levels or by special order, the status of which is subject to change at any time without notice. Such Services are exempt from standard processing and shipping timelines outlined in our Online Shipping Policy. 

Our Buy More Save More (BMSM) Program is valid when you purchase 2 or more of any in-stock food packaging item. BMSM discounts cannot be combined with other promotional offers & cannot be applied to custom or special order items, previous purchases or redeemed for cash. good natured Products Inc. reserves the right to suspend, vary or terminate the BMSM Program and any relevant offer and to amend these terms and conditions at any time without prior notice. If any item is returned or refunded, we may at our discretion, remove or reduce the BMSM discount from the other items in your order.

Prices are subject to change without notice. All prices are exclusive of sales, use and excise tax. For special order, custom development and direct invoiced customers pricing may be subject to additional or specific terms and conditions that will be outlined to you on applicable quotes, agreements, and order documentation. 

We reserve the right to modify or discontinue a Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of a Service.

All promotional sale items are available while supplies last and quantities are limited. Discounts and promotional prices are valid on in-stock items during the posted promotional period only. Discounts cannot be combined with other offers & cannot be applied to previous purchases or redeemed for cash. good natured Products Inc. reserves the right to suspend, vary or terminate this discounted price and any relevant offer and to amend the relevant terms and conditions at any time without prior notice.

The copyright to the Site, the design and appearance of the Site, and all of the material and the website content, other than your Content (as defined below), are owned by or licensed to good natured Products Inc. This material is protected by law against unauthorized copying and reproduction. Any use, reproduction, or distribution of the Site content, including caching, framing, or similar means, from the Site or reproduction, distribution, use of any templates (except as permitted herein), without permission of us is expressly prohibited.

“good natured®”, “better everyday products®” and other good natured Products Inc. graphics, logos, publication designs, and service names are trademarks of good natured Products Inc. or its subsidiaries, affiliates or associates. All other trademarks not owned by us or our affiliates that appear on the Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us or our affiliates. The display of any trademarks on the Site does not imply that a license has been granted to you or any other party for any further use.

Drawings, designs, and other custom product development information we may provide to you for a specific project remain the property of “good natured®” with the copyright herein, unless otherwise agreed in writing and subject to the terms and conditions that may govern such custom development agreements.

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities requested to be purchased per person, per business, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to, refuse or cancel an order, we will attempt to notify you by contacting the e mail and/or billing address/phone number provided at the time the order was placed. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors operating without our permission.

You may be requested to register with the Site in order to use some or all of the Services, and you will be provided with a username and password for the Site where required. You are responsible for maintaining the confidentiality of your username and password, and you accept responsibility for all activities incurred under your username and password. You acknowledge that the accuracy of this information is critical to the successful fulfillment of your order, and we cannot be held responsible for account information that leads to inaccurate order placement or shipping instructions. We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

All payments for Services are due at the time of ordering and prior to shipment of your order unless otherwise agreed as outlined below in “Other Terms & Conditions”. 

You acknowledge that your payment may be processed by good natured Products Inc. or any of its subsidiaries or third-party affiliates, including but not limited to LINDAR Corp.

We cannot be liable for any delays in shipping or delivery due to issues related to payment processing. 

For Services purchased directly on our Site, please refer to our Online Shipping Policy for more information on shipping timelines. 

If any shipment organized by us is lost or damaged in transit, good natured® will investigate the issue and coordinate with the carrier to provide you with a resolution, which may include a replacement of the lost or damaged product, a credit or a full or partial refund of your payment where the carrier accepts responsibility for the issue. Please notify us within 48 hours of delivery and provide evidence of any damages to assist us with this process. If damage has occurred during shipment, please do not refuse delivery. If a delivery is refused without prior written approval from us, additional charges may be incurred and we may not be able to claim damages for you from the carrier. 

If there is a discrepancy between what you ordered and what you received, either in quantity or product description, please get in touch with us as soon as possible at info@goodnaturedproducts.com so we rectify the situation. 

If you wish to cancel or change an order, please contact us at info@goodnaturedproducts.com as soon as possible. Changing or cancelling any order will not be possible if it has already been dispatched. 

Changes to custom development, special order, direct invoiced customers, and any other order governed by Other Terms and Conditions, may result in additional charges being billed to you as a result of raw material purchases, warehousing and freight fees from our logistic partners and suppliers and/or costs incurred by good natured Products Inc. and/or its subsidiaries, associates and affiliates for the recycling, repurposing or management of materials purchased or created for the explicit purpose of fulfilling your order. A change or cancellation of any order is not accepted until explicitly stated in writing from us.

These Terms of Service along with any other terms and conditions that may be provided to you by us, including terms governing custom development, special orders and direct invoiced customers, form a binding contract between you and good natured®. 

SECTION 19 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 

We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.

You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the Service is at your sole risk. In no case shall good natured Products Inc., our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Site, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend and hold harmless good natured Products Inc. and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

These Terms of Service are effective unless and until terminated by us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our Site.

good natured Products Inc. and its subsidiaries, associates and affiliates cannot be liable or responsible, nor be deemed to have defaulted or breached these Terms of Service, for any failure or delay in fulfilling or performing any term when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

Any new features or tools which are added to the Site shall also be subject to the Terms of Service.
